Terms of Reference 

Authority

Under the terms of the EMBL Australia Deed of Agreement, the EMBL Australia Council may form subcommittees and advisory groups as required from time to time to make non‐binding recommendations to the EMBL Australia Council (Clause 4.2).

Purpose

The primary function of the EMBL Australia Executive Committee of Council is to assist the Council in fulfilling its strategic planning and financial responsibilities for the EMBL Australia initiative.

The Executive Committee of Council shall:
  • support the leadership of EMBL Australia
  • attend to the agreed objectives of EMBL Australia Council
  • be responsible for the annual strategic planning process
  • monitor the development of the institutional partnership agreement with EMBL, and
  • examine any other matters referred to it by the Council.

Duties

The role of the Executive Committee of Council will be to prepare for Council consideration and approval the overall long-range planning policy and direction of EMBL Australia, and to monitor EMBL Australia’s economic performance. The Committee should make major decisions on matters for which it has delegated responsibility or recommend major decisions to the Council with respect to the following:

Strategy and Planning

  • Work with the Scientific Head to develop short and long term strategic approaches to be approved by the Council
  • To advise the Council, as necessary, on the strategic direction of EMBL Australia bearing in mind the interests and responsibilities of the Council
  • Identify priority issues consistent with the Business Plan and Council resolutions
  • Propose the annual business plan, including setting annual objectives and targets in discussion with the Scientific Head in preparation for their submission to the   Council for approval.
  • Receive and review quarterly progress reports relating to the annual business plan
  • Review on a regular basis progress against agreed objectives and targets after discussion with the Scientific Head

Financial Control and Reporting

  • Define and develop strategic budget issues, approve the budget framework, and recommend the budget to Council annually
  • Adopt, on delegated authority of Council, half-yearly and annual budget reviews
  • Consider reports on budget measures adopted to address identified trends or specific issues
  • Work with the Scientific Head on initiatives to secure future funding consistent with the Council agreed strategic plan
  • Ensure adequate financial management systems and processes are in place and any Government requirements are met

Reporting Arrangements

  • The Chairman of the Executive Committee of Council shall present a verbal and written summary report of the Committee’s deliberations drawing significant items to Council’s attention at its next full meeting.
  • The Executive Committee of Council will make reports and recommendations to the Council on matters within its terms of reference as it shall think fit.
